Zizq Pro License Agreement

This License Agreement ("Agreement") governs your use of Pro features of Zizq.
By purchasing or using a Pro license, you agree to this Agreement.
This Agreement is between you ("you", "Customer") and Zizq Labs ("we", "us", "our").
1. Overview
Zizq is available as a Free Tier and a paid "Pro" tier.
This Agreement applies only to your use of Pro features.
Use of the source code is governed separately under the Business Source License 1.1.
2. License Grant
The Pro license unlocks additional features beyond the Free Tier and is subject to the limitations described in this Agreement.
We grant you a limited, non-exclusive, non-transferable, non-sublicensable license to use Pro features of Zizq during your License Term, subject to this Agreement.
2A. Free Use.
You may use Zizq without purchasing a license ("Free Tier").
The Free Tier allows unlimited use of the software, including unlimited production instances, subject to the features made available in the Free Tier.
Free Tier usage does not require a license key.
Features available in the Free Tier may differ from those available under a Pro license and may change over time.
3. License Term
Your license is valid for the duration selected at purchase (for example, 1 month, 3 months, or 1 year) ("License Term").
When the License Term ends:
- Your access to Pro features will expire, and
- The software will continue operating under the Free Tier (if applicable)
You are responsible for renewing your license if you wish to continue using Pro features.
4. Production Instance Limit
A Production Instance means a deployment of the server component of Zizq used to process live, real-world workloads.
A Pro license allows:
- Use on one (1) Production Instance at a time
This limitation applies only to the server component of Zizq.
For clarity:
- The number of clients, workers, or external systems connecting to a Production Instance is not limited
- You may connect any number of clients to a licensed Production Instance
- The client component of Zizq does not require a license and is not counted toward the Production Instance limit
Licensing is based on server deployments only, not:
- Usage volume
- Throughput
- Number of connected clients
You may:
- Use the license on multiple development, staging, or test environments
You may not:
- Use a single license across multiple Production Instances
You are responsible for ensuring compliance with this limitation.
The Free Tier is not limited by the number of Production Instances.
5. License Keys
License keys are provided digitally and must be kept secure.
You are responsible for:
- Managing your license keys
- Preventing unauthorized use
We do not guarantee the ability to revoke or disable issued license keys.
6. Renewal and Auto-Renewal
You may purchase a new license at any time.
If you enable auto-renewal:
- We will attempt to issue a new license before your current License Term ends
You may cancel auto-renewal at any time before the next billing cycle.
Cancellation:
- Prevents future renewals
- Does not refund the current License Term
7. Refunds
We offer refunds within 14 days of purchase.
Refunds are provided at our discretion and assessed in good faith.
We may refuse refunds in cases of:
- Abuse
- Repeated refund requests
- Violation of this Agreement
You agree not to continue using Pro features after receiving a refund.
8. Pro Features
"Pro features" means features we designate as part of the Pro tier.
We may:
- Add, modify, or remove Pro features at any time
We do not guarantee the continued availability of any specific feature.
9. Restrictions
You may not:
- Resell, sublicense, or transfer your license
- Use a license for more Production Instances than permitted
- Circumvent or attempt to circumvent licensing controls
10. No Warranty
Zizq is provided "as is" and "as available".
To the maximum extent permitted by law, we make no warranties, express or implied, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
We do not guarantee that the software will be:
- Error-free
- Secure
- Available at all times
That said, we aim to provide a reliable and well-maintained product.
11. Limitation of Liability
To the maximum extent permitted by law:
We are not liable for:
- Data loss
- Lost profits or revenue
- Business interruption
- Indirect, incidental, or consequential damages
Our total liability is limited to the amount you paid for the license.
12. Changes to This Agreement
We may update this Agreement from time to time.
Changes:
- Apply to new purchases and renewals after the effective date
- Do not apply retroactively to existing License Terms
Continued use of Pro features after renewal constitutes acceptance of the updated Agreement.
13. Governing Law
This Agreement is governed by the laws of Victoria, Australia.
